Handle Kentucky Alcohol Licenses When Selling a Business

A seller resource from Louisville Business Brokers Group

If your sale includes an alcohol business, licensing needs its own plan. Kentucky ABC says the buyer cannot simply use the seller's license while the parties sort out the paperwork.

Separate the business deal from permission to operate

The purchase agreement may describe inventory, equipment, brands, and customer relationships. None of those descriptions alone gives the buyer permission to sell alcohol.

Kentucky ABC also prohibits the seller from allowing the buyer to use its license. Build the transaction timetable around the applicable approvals, not just the preferred closing date.

Clarify what is changing

Give your licensing adviser the proposed ownership structure, business activities, premises, and timing. Different changes may require different applications or review.

Do not treat an equity transaction and an asset purchase as identical. State and local requirements must be checked for the actual business and license types.

Review the application and transition options

ABC's guidance describes an application to transfer the business or licenses, or obtaining licenses in the buyer's own name. It also discusses transitional licensing.

Availability and approval depend on the circumstances. Do not promise a buyer uninterrupted operation until the authorities and advisers have confirmed the proper arrangement.

Coordinate stock and supplier relationships

Identify the alcoholic inventory and the distribution or supply agreements involved. Ask how their transfer should be handled under the applicable rules.

Supplier consent and licensing are separate questions. An agreement with a supplier does not replace regulatory approval, and approval does not guarantee commercial terms.

Use the valuation discussion to expose timing issues

Tell the valuation partner early that the business handles alcohol. Explain the type of operation without sending license numbers or confidential agreements through the initial form.

A clear transaction outline helps advisers assess what must happen before the buyer can take over. The website is a referral service and does not obtain licenses for either party.
