Sell a Beverage Distribution Business
A beverage distributor's value rests on more than routes and stock. Supplier agreements, account relationships, licensing, and the economics of deliveries all need a clear explanation.
Define the business before choosing a buyer
Explain the mix of products and whether the operation handles alcoholic drinks, nonalcoholic products, or both. Describe the actual territory and customer channels without overstating exclusivity.
Separate owned brands from distribution rights. A buyer needs to know what the company owns and what it uses under an agreement with someone else.
Review supplier and territory terms
Gather distribution agreements, renewal dates, performance requirements, and any provisions concerning a change of ownership.
A supplier relationship may be valuable without being freely transferable. Have advisers check consent and approval requirements before representing those rights as part of a guaranteed package.
Make route economics visible
Explain sales and margin by route or customer group where records allow. Include delivery labour, vehicles, returns, breakage, and credits.
Identify customer concentration and seasonal swings. A revenue increase is more informative when the buyer can see what it costs to fulfil those orders.
Treat alcohol licensing as a separate workstream
If alcohol is involved, Kentucky ABC says a buyer cannot simply operate under the seller's license. The appropriate application and operating arrangements need attention before handover.
Discuss the proposed transaction with licensing advisers and the relevant authorities. Do not promise that a licence automatically follows the vehicles, inventory, or company name.
Prepare the financial and physical handover
List stock, equipment, finance obligations, premises, and the duties you perform. Agree how inventory condition and working capital will be measured.
Begin with a short valuation enquiry. Detailed supplier terms and account lists belong in a controlled diligence process after the parties agree how information will be handled.
