Close Kentucky Tax Accounts With Form 10A104
Form 10A104 covers updates and cancellation of Kentucky tax accounts. Before using it after a sale, decide which entity and accounts will actually stop operating.
A sale is not always an account closure
Selling assets, selling ownership interests, and winding up a company are different events. The seller may continue to exist after the buyer takes over part of the operation.
Ask your CPA which accounts need an update, which remain open, and which should close. Do not cancel an account simply because a sale agreement has been signed.
Start with accurate account information
Use the legal business identity and the account numbers relevant to the change. Confirm the effective date against the transaction and the actual end of the seller's activity.
The form distinguishes several types of updates. A change of location or trading name should not be treated as a request to close every tax account.
Read the instructions for the selected change
Kentucky's official form includes account closure instructions as well as business and location updates. Some changes may also be handled through the Department's online services.
Follow the current form's instructions for the parts that apply. If the legal entity or federal identification number changes, ask whether a new registration is required instead of a simple update.
Separate closure from final reporting
Requesting cancellation does not by itself establish that all returns, payments, or other obligations have been completed.
Keep a schedule of remaining filings and retain confirmation of the account change. Your adviser can identify obligations that continue beyond the closing date.
Coordinate with the rest of the sale
The Secretary of State, unemployment insurance office, local revenue authority, and licensing bodies may have their own requirements.
Give the advisers one consistent account of what was sold and what remains. That helps prevent a seller from closing an account the continuing business still needs.
